These Terms & Conditions (“Terms”) govern your access to and use of KuraChat, provided by Hyper Trellis SRL. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you are authorised to bind that organisation.
1. Definitions
- “Service” means the KuraChat widget, AI chatbot, dashboard, and related websites and APIs.
- “Customer” or “you” means the person or organisation using the Service.
- “End User” means a visitor who interacts with your chatbot.
- “Content” means the material you provide, and the conversations processed through the Service.
2. The Service
KuraChat lets you add a support widget and AI chatbot to your website, trained on your own content, with the ability to hand conversations off to a human and to connect commerce integrations. Features vary by plan and may change as we improve the Service.
3. Accounts and eligibility
You must be at least 16 years old and provide accurate account information. You are responsible for keeping your credentials confidential and for all activity under your account.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, infringing, deceptive, or harmful purposes.
- Upload content you do not have the rights to use.
- Reverse engineer, resell, or overload the Service or its infrastructure.
- Use the assistant to mislead consumers in a way that breaches applicable law. Where you enable an undisclosed “agent-style” persona, you are responsible for complying with any disclosure requirements in your jurisdiction.
5. Customer content
You retain ownership of your Content. You grant us a worldwide, non-exclusive licence to host, process, and display that Content solely to provide and improve the Service. You are responsible for having the necessary rights to your Content and for its lawfulness.
6. AI-generated responses
AI responses may be inaccurate or incomplete and do not constitute legal, financial, medical, or other professional advice. You are responsible for the answers shown to your End Users and should configure escalation and review appropriately.
7. Subscriptions, fees, and taxes
The Service is offered on Free, Pro, and Ultra plans. Paid fees are billed in advance and renew automatically for the same period unless cancelled. We may change prices with reasonable notice, effective at your next renewal. Fees are exclusive of taxes unless stated. Failed or late payment may lead to suspension.
8. Free trial
Paid plans may begin with a 14-day free trial. Unless you cancel before the trial ends, the plan converts to a paid subscription at the then-current price.
9. Intellectual property
We and our licensors own all rights in the Service, including its software, design, and trademarks. If you send us feedback, you grant us a right to use it without restriction or obligation.
10. Third-party integrations
Integrations such as Shopify and WooCommerce are provided by third parties and governed by their own terms. We are not responsible for third-party services, and your use of them is at your own risk.
11. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Service and use it only as needed to perform under these Terms.
12. Warranties and disclaimers
The Service is provided “as is” and “as available”. To the extent permitted by law, we disclaim all implied warranties and do not warrant that the Service will be uninterrupted or error-free.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnification
You agree to indemnify us against claims arising from your Content or your use of the Service in breach of these Terms.
15. Term and termination
You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, your right to use the Service ends and we may delete your Content after a reasonable period.
16. Changes
We may modify the Service or these Terms. We will give notice of material changes; continued use after they take effect means you accept the updated Terms.
17. Governing law and disputes
These Terms are governed by the laws of Romania, and the courts of Bucharest have jurisdiction, subject to any mandatory consumer protections in your country of residence.
